Welcome to Loor.TV
Thank you for using the Loor.TV platform and the products, services and features we make available to you as part of the platform (collectively, the “Service”). The following are the agreements and the responsibilities associated with using the Service. By using the Services you hereby agree to be bound by these terms of service (the “Terms”), you (& your parent/guardian) agree to abide by these Terms, which include limits on Loor.TV’s liability to you, rules potentially funding projects, arbitration of disputes, and Loor.TV’s right to amend these Terms and terminate member’s Loor.TV accounts. It is important that you read these Terms carefully.
The Service allows you to discover, watch and potentially fund your favorite projects, videos and/or other content, and provides a forum for people to connect, inform, and inspire others across the globe. Additionally, the Service acts as a distribution platform for original content creators large and small. We provide lots of information about our Loor.TV paid memberships and purchases (when available).
The entity providing the Service is Loor.TV, Inc., a company operating under the laws of Delaware, located at Loor TV, 220 E 5th, ST LBBY #8433, Moscow, ID 83843 (referred to as “Loor.TV”, “we”, “us”, or “our”). References to Loor.TV’s “Affiliates” in these terms is defined in our Privacy Policy.
Your use of the Service is subject to these Terms, which may be updated from time to time (this “Agreement”). Please read this Agreement carefully and make sure you understand it. If you do not understand the Agreement, or do not accept any part of it, then you may not use the Service. Any use of the Service acknowledges the acceptance of these Terms and Agreement.
AGE REQUIREMENTS
You must be at least 18 years old to use the Service; however, children of all ages may use the Service if granted permission by a parent or legal guardian.
PERMISSION BY PARENT OR GUARDIAN
If you are under 18, you represent that you have your parent or guardian’s permission to use the Service. Please have them read the Terms and this Agreement with you. If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child’s activity on the Service.
BUSINESSES
If you are using the Service on behalf of a company or organization, you represent that you have authority to act on behalf of that entity, and that such entity accepts these Terms and this Agreement.
The content on the Service includes videos, audio (for example music and other sounds), games, graphics, photos, text (such as comments and scripts), branding (including trade names, trademarks, service marks, or logos), interactive features, software, metrics, and other materials whether provided by you, Loor.TV or a third-party (collectively, “Content”).
There are three ways that you may use the Service, each of which are described below:
a. Use of the Service Without an Account. You may use parts of the Service, such as browsing and searching the Content without creating an account (see below for descriptions of a Free Account and a Paid Membership), and view the Services benefits and browse descriptions of the Content available to account holders, however, you will not be able to view any Content without creating either one of the accounts described below, which each have different benefits.
b. Free Account. In the event that you wish to view certain Content that is made available to free account members, or to help fund projects (as further described below), you will need to create a free account which requires that you provide your email address and create a password (a “Free Account”).
c. Paid Membership. In order to watch all Content and participate in the weekly Loot program, help fund projects by allocating Member’s virtual tokens, or portions thereof, called Loot (see below for more detail), to prospective projects that Members desire to see produced, and other membership exclusives, you will need to create a paid membership account (a “Paid Membership”). In order to create a Paid Membership, you will need to create an account and provide your email address and create a password, enter a valid credit card number and expiration date, security code (found on the back of your credit card) and include your billing and shipping address.
With a Loor.TV Paid Membership each member (each a “Member” collectively the “Members”), can help fund projects by allocating Member’s virtual tokens, or portions thereof, called Loot (see below for more detail), to prospective projects that Members desire to see produced, and more. Additional, all Members may have access to additional features and functions, such as uploading videos, making comments or creating playlists (when available).
To protect your Loor.TV account, keep your username and password confidential. You should not reuse your Loor.TV account password on third-party applications.
Loot (“LOOT”) is Loor.TV’s in-platform “virtual token”, used for the purpose for funding project, that fuels community engagement and can be used to help fund creative projects.
Benefits of Paid members received an allocation of LOOT is provided through Member’s monthly subscription to Loor.TV or may be purchased by Members or non-members to fund specific projects. If a project reaches its funding goals through LOOT allocations, that project will be greenlit and go into production. Once a production is completed the resulting Content will be streamed on the Service for Member viewing.
Members receive 1,200 LOOT each week, which is reset every Tuesday at 9 AM EDT (UTC-4) during Daylight Saving Time (spring and summer in the United States of America) and at 8AM EST (UTC-5). Every Tuesday Members receive an email notifying them of the amount of LOOT available to use to allocate to projects. Members may select a project or allocate portions of their available LOOT to multiple projects. If a Member allocates all LOOT within that weekly period, that Member will be given an additional 200 LOOT to be allocated to an additional project or apportioned to multiple projects. This additional 200 LOOT will be reset the following Tuesday. After each Tuesday, any unused LOOT expires from each Member’s account. Members and non-members may purchase additional LOOT, known as Gold LOOT (the “GOLD LOOT”), in order to help fund a specific project or projects. Any unused purchased GOLD LOOT will expire upon termination of a Member’s subscription to the Service.
You acknowledge that using LOOT to help fund a project does not give you any ownership or any monetary or other interest in any aspect of the resulting Content, including, without limitation, any continued right to maintain your account without continued payment of subscription fees, or abiding by the Terms, or following all the terms of this Agreement. You also acknowledge that any funded Content or any other project funded by you may cease to be available to you at any time without notice from Loor.TV. Additionally, you acknowledge and agree that any and all LOOT offered, and made available to you has no real world equivalent monetary value, and is provided to you for entertainment purposes only, and does not establish any enforceable equitable or property rights. LOOT may only be utilized as described herein and may not be redeemed for actual currency or actual goods. You acknowledge and agree that there is no guarantee that any project will reach its funding target.
Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the Service.
You may access and use the Service as made available to you, as long as you comply with this Agreement and any and all applicable laws. You may view or listen to Content for your personal, non-commercial use.
The following restrictions apply to your use of the Service. You are not allowed to:
Access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify or otherwise use any part of the Service or any Content except: (a) as expressly authorized by the Service; or (b) with prior written permission from Loor.TV and, if applicable, the respective rights holders;
Circumvent, disable, fraudulently engage with, or otherwise interfere with any part of the Service (or attempt to do any of these things), including security-related features or features that (i) prevent or restrict the copying or other use of Content or (ii) limit the use of the Service or Content;
Access the Service using any automated means (such as robots, botnets or scrapers) except (a) in the case of public search engines; or (b) with Loor.TV’s prior written permission; or (c) collect or harvest any information that might identify a person (for example, usernames or faces);
Use the Service to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations;
Cause or encourage any inaccurate measurements of genuine user engagement with the Service, including by paying people or providing them with incentives to increase a video’s views, likes, or dislikes, or to increase, or otherwise manipulate any Content’s metrics in any manner;
Misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions or complaints;
Use the Service to view or listen to Content other than for personal, non-commercial use (for example, you may not publicly screen videos or stream any Content from the Service); or
Use the Service any unlawful reason or purpose or in violation of any term contained in this Agreement.
Using the Service does not give you ownership of, or rights to, any aspect of the Service, including user names or any Content streamed by Loor.TV or any affiliate of the Service.
All applicable right, title and interest to any Program, services, tradenames, graphics, or any material included in the Service) (collectively, the “Loor.TV Materials”), including the copyrights, trademarks and goodwill therein, will at all times be and remain with Loor.TV, the Loor.TV Affiliates’ or the third-party owner of any or all such elements, as applicable. You will not acquire any right, title or interest whatsoever therein as a result of your use of the Service. By agreeing to using the Service, you affirmatively agree that you will not apply for, or seek to obtain, trademark, copyright, domain name, patents, or any other intellectual property right in any of the Loor.TV Materials, any third-party elements, or to the Service. You also affirmatively agree that you will not modify the graphic image or any Loor.TV Materials, in any way, or otherwise harm, misuse or bring into disrepute any of the Loor.TV Materials, their reputation or that of Loor.TV, its, officers, directors, employees, contractors and agents, or any Loor.TV Affiliate.
Loor.TV is constantly changing and improving the Service. As part of this continual evolution, Loor.TV may make modifications or changes (to all or part of the Service), such as adding or removing features and functionalities, offering new Content or services or discontinuing old ones. Additionally, Loor.TV may remove any Content or programming that appear on the Service. Loor.TV may also need to alter or discontinue the Service, or any part of it, in order to make performance or security improvements, make changes to comply with law, or prevent illegal activities on or abuse of our systems. These changes may affect all users, some users or even an individual user. When the Service requires or includes downloadable software, that software may update automatically on your device once a new version or feature is available, subject to your device settings. If Loor.TV make material changes that negatively impact your use of the Service, we’ll provide you with reasonable advance notice, except in urgent situations such as preventing abuse, responding to legal requirements, or addressing security and operability issues.
TERMINATIONS BY YOU
You may stop using the Service at any time.
TERMINATIONS AND SUSPENSIONS BY LOOR.TV
Loor.TV reserves the right to suspend or terminate your Loor.TV account or your access to all or part of the Service if: (a) you fail to timely pay your subscription fee; (b) you materially or repeatedly breach this Agreement; (c) Loor.TV is required to do so to comply with a legal requirement or a court order; or (d) Loor.TV reasonably believes that there has been conduct that creates (or could create), liability or harm to any user, other third party, Loor.TV or our Affiliates.
NOTICE FOR TERMINATION OR SUSPENSION
We will notify you with the reason for termination or suspension by Loor.TV unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority; (b) would compromise an investigation; (c) would compromise the integrity, operation or security of the Service; or (d) would cause harm to any user, other third party, Loor.TV or our Affiliates.
EFFECT OF ACCOUNT SUSPENSION OR TERMINATION
If your Loor.TV account is terminated or your access to the Service is restricted, you may continue using certain aspects of the Service (such as viewing only) without an account, and this Agreement will continue to apply to such use. If you believe that the termination or suspension has been made in error, you can appeal using this form.
When the Service requires or includes downloadable software, unless that software is governed by additional terms which provide a license, Loor.TV gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by Loor.TV as part of the Service. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Service as provided by Loor.TV, in the manner permitted by this Agreement. You are not permitted to copy, modify, distribute, sell, or lease any part of the software, or to reverse-engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have Loor.TV’s specific written permission.
Some software used in our Service may be offered under an open-source license that we make available to you. There may be provisions in an open-source license that expressly override some of these terms, so please be sure to read those licenses.
OTHER THAN AS EXPRESSLY STATED IN THIS AGREEMENT OR AS REQUIRED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND LOOR.TV DOES NOT MAKE ANY SPECIFIC COMMITMENTS OR WARRANTIES ABOUT THE SERVICE. FOR EXAMPLE, WE DON’T MAKE ANY WARRANTIES ABOUT: (A) THE CONTENT PROVIDED THROUGH THE SERVICE; (B) THE SPECIFIC FEATURES OF THE SERVICE, OR ITS ACCURACY, RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS; OR (C) THAT ANY PROJECT YOU ALLOCATE LOOT WILL BE GREENLIT, GO INTO PRODUCTION, OR BE MADE ACCESSIBLE ON THE SERVICE.
EXCEPT AS REQUIRED BY APPLICABLE LAW, LOOR.TV, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE RESPONSIBLE FOR ANY LOSS OF PROFITS, REVENUES, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; LOSS OR CORRUPTION OF DATA; INDIRECT OR CONSEQUENTIAL LOSS; PUNITIVE DAMAGES CAUSED BY:
ERRORS, MISTAKES, OR INACCURACIES ON THE SERVICE;
PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SERVICE;
ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVICE;
ANY INTERRUPTION OR CESSATION OF THE SERVICE;
ANY VIRUSES OR MALICIOUS CODE TRANSMITTED TO OR THROUGH THE SERVICE
BY ANY THIRD PARTY;
ANY CONTENT WHETHER SUBMITTED BY A USER OR LOOR.TV, INCLUDING YOUR USE OF CONTENT; AND/OR
THE REMOVAL OR UNAVAILABILITY OF ANY CONTENT.
THIS PROVISION APPLIES TO ANY CLAIM, REGARDLESS OF WHETHER THE CLAIM ASSERTED IS BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL OR EQUITABLE THEORY.
LOOR.TV AND ITS AFFILIATES’ TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT OF REVENUE THAT LOOR.TV HAS RECEIVED FROM YOU FOR YOUR CONTINUOUS USE OF THE SERVICE IN THE IMMEDIATE 6 MONTHS PRIOR TO THE DATE OF YOUR WRITTEN NOTICE TO LOOR.TV, OF THE CLAIM; AND (B) USD $250.
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Loor.TV, its Affiliates, officers, directors, employees, contractors and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Service caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Service.
The Service may contain links to third-party websites and online services that are not owned or controlled by Loor.TV. Loor.TV has no control over, and assumes no responsibility for, such websites and online services. Be aware that when you leave the Service; we suggest you read the terms and privacy policy of each third-party website and online service that you visit.
Loor.TV may update these Terms from time to time as laws, our Services and practices change. We encourage you to review these Terms and all our policies posted on this Website, such as our Privacy Policy, periodically. If you keep using Loor.TV after a change, we will assume you accept the current version. These Terms may be translated into another language for your convenience or you may use a third-party translation service; in the event of a conflict between the English version and any translations, the English version shall control.
Please review this and our other policies, such as our Privacy Policy, posted on this Website. These and other policies also govern your visit to this Website and use of the Service. Loor.TV reserves the right to make changes to the Website, Services, policies, and these Terms at any time. If any of these conditions shall be deemed invalid, void or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition or term.
If you fail to comply with this Agreement and we do not take immediate action, this does not mean that we are giving up any rights that we may have (such as the right to take action in the future).
In these terms, “include” or “including” means “including but not limited to,” and any examples we give are for illustrative purposes.
All claims arising out of or relating to these terms or the Service will be governed by Delaware law, and will be litigated exclusively in the federal or state courts of Latah County, Idaho, USA. You and Loor.TV consent to personal jurisdiction in those courts.
YOU AND LOOR.TV AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
